Introduction

Welcome to OnsiteTrainer. These Terms of Service ("Terms") govern your access to and use of the OnsiteTrainer platform at onsitetrainer.com (the "Platform"), operated by OnsiteTrainer ("we," "us," or "our").

By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our Platform.

Definitions

• "Client" refers to companies and organizations that use our Platform to request and book training services.
• "Trainer" refers to training companies and individual trainers who offer training services through our Platform.
• "User" refers to anyone who accesses or uses our Platform, including Clients and Trainers.
• "Training Request" refers to a request submitted by a Client for training services.
• "Proposal" refers to an offer submitted by a Trainer in response to a Training Request.
• "Booking" refers to a confirmed training session between a Client and Trainer.

Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our Platform. By using our Platform, you represent and warrant that you meet these eligibility requirements.

If you are using our Platform on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

Account Registration

Account Creation

To use certain features of our Platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Types

• Client Accounts: For companies seeking to book training for their employees
• Trainer Accounts: For training companies and professionals offering training services

Account Security

You must immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Platform Services

For Clients

Our Platform enables Clients to:

• Submit Training Requests specifying course requirements, location, and dates
• Receive and compare Proposals from qualified Trainers
• Book training sessions with selected Trainers
• Communicate with Trainers regarding bookings
• Manage delegate information and training records

For Trainers

Our Platform enables Trainers to:

• Browse Training Requests within their coverage areas
• Submit Proposals to Clients with pricing and availability
• Manage coverage zones and course offerings
• Communicate with Clients regarding proposals and bookings
• Deliver training sessions at client locations

Platform Role

OnsiteTrainer acts as a platform to connect Clients with Trainers. We are not a party to the contracts formed between Clients and Trainers for training services. We do not employ, recommend, or endorse any specific Trainer or guarantee the quality of training services provided.

User Obligations

When using our Platform, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Use the Platform only for lawful purposes and in accordance with these Terms
• Not impersonate any person or entity or misrepresent your affiliation
• Not interfere with or disrupt the Platform or servers
• Not use automated systems to access the Platform without our permission
• Not attempt to gain unauthorized access to any part of the Platform
• Comply with all applicable laws and regulations

Trainer-Specific Obligations

Trainers using our Platform must:

• Hold valid qualifications and certifications for courses they offer
• Maintain appropriate professional indemnity insurance
• Provide accurate information about their qualifications, experience, and pricing
• Deliver training services professionally and to industry standards
• Comply with all relevant health and safety regulations
• Honor confirmed bookings or provide adequate notice of cancellation
• Provide certificates and documentation as required for completed training

We reserve the right to verify Trainer qualifications, insurance, and credentials at any time. Failure to maintain required qualifications may result in account suspension or termination.

Bookings and Payments

Booking Process

When a Client accepts a Trainer's Proposal, a binding contract is formed directly between the Client and Trainer. The terms of that contract, including pricing, dates, and deliverables, are as specified in the accepted Proposal.

Payment Terms

Payment arrangements are made directly between Clients and Trainers. OnsiteTrainer is not responsible for processing payments or resolving payment disputes between Users.

Cancellations and Rescheduling

Cancellation and rescheduling policies are determined by the Trainer and specified in their Proposals. Clients and Trainers should communicate directly regarding any changes to confirmed bookings.

Intellectual Property

Platform Content

All content on the Platform, including text, graphics, logos, images, software, and functionality, is the property of OnsiteTrainer or its licensors and is protected by copyright, trademark, and other intellectual property laws.

User Content

You retain ownership of any content you submit to the Platform (including Training Requests, Proposals, and profile information). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute that content as necessary to operate the Platform.

Restrictions

You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without our express written permission.

Prohibited Conduct

You must not:

• Use the Platform to circumvent our services (e.g., contacting Trainers/Clients outside the Platform to avoid fees)
• Post false, misleading, or fraudulent information
• Harass, abuse, or harm other Users
• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit viruses, malware, or other harmful code
• Scrape, harvest, or collect User data without permission
• Use the Platform for any commercial purpose not expressly permitted by these Terms

Disclaimers

Platform Provided "As Is"

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components.

No Guarantee of Services

We do not guarantee the quality, accuracy, or reliability of any training services provided by Trainers. Clients are responsible for verifying Trainer qualifications and ensuring training meets their requirements.

Third-Party Content

We are not responsible for the accuracy, completeness, or reliability of content provided by Users or third parties on the Platform.

Limitation of Liability

To the fullest extent permitted by law, OnsiteTrainer, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform or these Terms.

Our total liability to you for all claims arising from your use of the Platform shall not exceed the greater of £100 or the amount you paid to us (if any) in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under UK law.

Indemnification

You agree to indemnify, defend, and hold harmless OnsiteTrainer and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of another party.

Termination

By You

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings. You remain responsible for any obligations or bookings made prior to termination.

By Us

We may suspend or terminate your account immediately, without notice, if you violate these Terms or engage in conduct that we determine to be harmful to the Platform or other Users.

Effect of Termination

Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, and limitations of liability) will continue to apply.

Dispute Resolution

Between Users

Disputes between Clients and Trainers should be resolved directly between the parties. OnsiteTrainer is not responsible for mediating or resolving such disputes, though we may provide communication tools to facilitate resolution.

With OnsiteTrainer

If you have a dispute with us, please contact us first to attempt to resolve it informally. If we cannot resolve the dispute, it shall be governed by the laws of England and Wales, and you agree to submit to the exclusive jurisdiction of the courts of England and Wales.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or Platform features. We will notify you of significant changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of the Platform after changes indicates your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Platform.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OnsiteTrainer regarding your use of the Platform.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
